Terms of Sale

Last updated: 27 October 2026. Version: 1.2.

The short version

On this page

1. Who we are and what these terms cover

“Lutnoir,” “we,” “us” and “our” mean the Japan-based individual or small business operating the Lutnoir store at lutnoir.com, as identified in the seller information supplied in connection with your purchase. Lutnoir is a trading name, not a statement that the seller is an incorporated company. “You” means the purchaser; if you purchase with authority on behalf of a business, that business is the purchaser and license holder.

For Japanese mail-order disclosure purposes, our seller's legal name, business address and telephone number are supplied without delay on request to [email protected], where omission from the public advertisement is legally permitted. You may request this information before placing an order. This arrangement does not limit any identification or disclosure that applicable law requires us to provide before you buy or in your contract confirmation. See our Japanese commercial disclosure.

“Products” means the downloadable color lookup table files (.cube LUTs) and any included installation materials described in the purchased listing. “Order” means your purchase of specified Products for the price shown at checkout. “Consumer” means a purchaser entitled to mandatory consumer protection under applicable law; using the store does not by itself determine whether you are a consumer or a business customer. “Finished work” means an exported image or audiovisual production incorporating a look, without supplying an extractable LUT or equivalent reusable color preset.

“Payment Partner” means the payment provider or authorized reseller identified for your particular checkout. A processor is not automatically the seller. These Terms cover our Product supply, license and support and any sale by us. Section 5 is the single explanation of the different payment arrangements and which transaction terms apply.

The product description, included-file list, compatibility information and total price displayed when you order form part of your purchase. Express promises in those descriptions remain part of our commitments. Mandatory law and any more favorable rights we expressly promise remain protected. The short version helps you find your way through these Terms and does not narrow your rights.

You must have legal capacity to make the purchase, or the authorization required by applicable law. Purchases made for a business must be authorized by that business. We do not require customers to describe a genuine personal purchase as a business purchase.

2. What you are purchasing

Our catalog consists of five original style packs, each containing six looks, and the Complete Collection containing those same 30 looks. The collection is the current collection described at purchase; it is not a subscription or a promise of free future packs. Buying overlapping packs does not create additional unique looks. Check the contents before purchasing.

Products are digital files, not physical goods, editing software, camera profiles, a display calibration service or individualized color grading. Our LUTs create original stylistic color treatments. They do not promise to reproduce any particular camera, film stock or third party product.

The intended input is standard SDR footage processed as Rec.709. Log and HDR footage must first be converted appropriately to standard SDR/Rec.709 using a suitable color management workflow. Applying these style LUTs directly to unconverted Log or HDR footage may produce unsuitable results. A style LUT is not a substitute for that conversion.

You need software that can import and apply the .cube format, a suitable device and enough storage to download and extract the delivered files. Review the product page and installation guides before purchase. The listing and guides describe the intended workflow. Ask us before purchase if your editor, version or input requirements are unclear.

Lighting, exposure, white balance, source color space, color management, display settings, compression and LUT intensity all affect the result. Preview images illustrate creative direction on the material shown. Your material will need its own adjustments and will not necessarily match a preview. These practical differences do not excuse misleading descriptions or a Product that fails a legally required standard.

Only items expressly listed in your Order are included. Future new Products, additional styles or separately sold services are not automatically included. Corrections or updates required by mandatory law remain available regardless of this limitation.

3. Orders, contract formation and changes before payment

Review your selected Products, contents, email address, price and these Terms before submitting payment. You can correct an Order before payment using the checkout controls. Contact us promptly about an accidental duplicate purchase or an incorrect email address; reasonable verification may be needed to protect your Order.

For a direct sale by Lutnoir, submitting an Order is your offer to buy. We accept when payment has been successfully confirmed and we make the purchased downloads available or send the order confirmation, whichever happens first. The separate resale arrangement is explained in Section 5. A pending payment or failed authorization alone does not grant download access. If an Order cannot be supplied after payment, we will notify you and arrange the appropriate refund through the relevant Payment Partner.

Before acceptance, an Order may be declined for a genuine availability issue, legal restriction or reasonable suspicion of unauthorized payment, subject to the transaction terms in Section 5. Any supply restriction will be coordinated with the relevant seller. Payment will not be retained without supply or an appropriate remedy, and restrictions will respect your statutory rights.

If a material price or description error is discovered before acceptance, we will give you the corrected information and the choice to proceed or cancel; we will not take an increased payment without your agreement. Once accepted, your Order is governed by its agreed price and description, subject to remedies and any changes you expressly agree to.

4. Prices, currency and taxes

Store prices are listed in US dollars (USD). Each purchase is a one-time payment, not a subscription. Listed prices include applicable transaction taxes, so the total shown at checkout is the amount you pay. The final currency and any compulsory charges are shown in the checkout total before you pay. No physical shipping charge applies. The seller's transaction-tax and invoicing responsibilities follow the payment arrangement explained in Section 5. We do not add an undisclosed delivery or handling charge after payment.

Your bank or payment provider may apply its own exchange rate or foreign transaction fee if your payment account uses another currency. These are determined by that provider, not Lutnoir. This does not transfer to you any tax collection or reporting obligation that law places on us. Tax treatment depends on your location and the rules applicable to the transaction; charging USD does not make every sale tax-exempt.

Promotions apply only on the conditions and during the period stated when offered. Later price changes do not change an accepted Order or automatically create a right to a price adjustment.

5. Payment partner and your order

Your checkout identifies the seller and the payment arrangement for that Order. Use the payment methods shown there and check the final total before paying. By submitting payment you confirm that you are authorized to use the selected method. We do not receive or store your full payment card number or security code.

5.1 Stripe and Paddle: the transaction arrangements

Stripe orders — Lutnoir is the seller. Stripe processes the payment; our direct-sale contract formation, refund and consumer-remedy terms apply. Lutnoir is responsible for applicable seller tax and invoicing obligations and arranges refunds through Stripe. A payment processor does not become the seller merely by handling payment. Our ordinary change-of-mind policy is in Section 9; the digital-content withdrawal conditions are in Section 10.

Paddle orders — Paddle is the reseller and Merchant of Record. The Paddle entity shown at checkout sells the transaction under its Buyer Terms, including its Refund Policy. Those terms govern contract formation, payment, transaction taxes, invoices, refunds, withdrawal and payment disputes. Lutnoir supplies the files, license and product support and remains responsible for its own commitments. Paddle orders are handled under Paddle's Buyer Terms for refunds and withdrawal; our additional 7 days of installation help still applies.

For Paddle transactions, the applicable regional rules and digital-content conditions in Paddle's terms determine whether a withdrawal right remains. Downloading alone is not a universal reason to reject a refund. In particular, its EU/EEA/Swiss/UK digital-content exception depends on early use and express consent; mandatory legal conditions also remain protected. Other regional protections, defective-product remedies and any more favorable rights still apply. Paddle can consider discretionary requests submitted within 14 days of the transaction date, but approval is not guaranteed. That discretion is separate from a refund legally due.

For Paddle billing, refunds, withdrawal or payment disputes, use Paddle Buyer Support or your receipt's support link. The eligible EU transaction withdrawal option is described in Paddle's Refund Policy. Contact Lutnoir at [email protected] for files, licensing and installation; we can help forward a transaction request. Where we agree a remedy, Paddle processes the transaction refund. Our delivery email is not a second tax invoice. A dispute with Paddle follows its own governing-law and dispute provisions; the Lutnoir court clause in Section 16 does not replace them.

For either arrangement, the transaction-applicable terms and mandatory law control over inconsistent general store wording. The Payment Partner for an accepted Order remains relevant to its records and refunds even if checkout later changes. No arrangement reduces mandatory consumer rights, a legally required remedy or any more favorable protection expressly given to you.

6. Digital delivery, download access and re-downloads

We begin fulfillment immediately after successful payment confirmation. The order completion page displays download buttons for the purchased Products, and an order email provides a link back to that download page. There is no parcel or physical return address for the files themselves. Brief processing, network or email delivery delays can occur; if access does not appear, contact us so we can check your payment and restore delivery or provide an appropriate remedy.

Keep your confirmation email and your own backup of the delivered files. Use the email's order-page link to generate fresh download links when a file link expires. If you lose the email, the order link stops working or you need help re-downloading, contact [email protected] from the purchase email address and include your order reference if available. Do not email full card details. We may ask for proportionate information to verify ownership before restoring access.

Download and order-page links are for the purchaser and should be kept private. A file link's security expiry is not the expiry of your license. Re-download access is for recovering the Products already purchased, not for distributing them. We do not promise permanent online storage or perpetual operation of the website; this does not excuse failure to deliver, remove statutory remedies or permit us to withdraw a paid license arbitrarily.

For Lutnoir's own change-of-mind policy, download begins when transfer of a purchased Product file to you starts, not merely when you pay, receive an email or view the order page. The conditions in Sections 5 and 10 also apply. A checkout tick alone is not proof that a download began, and this definition does not narrow a remaining withdrawal or refund right.

7. Your license: personal and client projects

After successful payment, we grant the purchaser a non-exclusive, worldwide license, without recurring royalties, to use the purchased LUTs in personal and commercial projects, including paid client work. Subject to these Terms, the license has no fixed time limit and covers multiple projects and the purchaser's own working devices. It is a license to use the files, not a transfer of copyright or an unrestricted right to redistribute them.

You may apply the LUTs to your own or properly authorized footage and images, adjust their intensity or adapt a LUT privately for your own permitted workflow, and export and distribute finished work. You may make reasonable private backup copies. If the purchaser is a business, its personnel may use the files only on its behalf within that purchaser's controlled work environment; the purchase does not license unrelated businesses or a shared public library.

Clients may receive and use the finished exported work. They do not receive the LUT file, a modified LUT, a reusable preset reproducing it, or an editable project containing an extractable copy. If a client or independent collaborator needs the underlying LUT, they must obtain their own license from Lutnoir. No credit to Lutnoir is required in your finished work.

You must not, unless a non-excludable legal right permits it:

No restriction here removes a statutory exception that cannot lawfully be excluded. Ask us before any proposed use that requires redistribution or falls outside this license.

8. Installation and getting started

Start with our installation and workflow guides: extract the download, locate the .cube files, prepare the correct input color space, import a look using your editor's LUT controls and adjust it to the footage.

Contact us within 7 days after purchase for installation assistance at [email protected]. Include the order reference, editor and version, input color space, and the error you see. Send only information needed to diagnose the issue; do not send confidential client footage or sensitive credentials.

We will give reasonable installation guidance for the delivered files and help distinguish a workflow problem from a file problem. This does not include bespoke grading, project editing, third party software licenses or guaranteed support for every editor and future version. We do not promise a particular response time or round-the-clock support.

The seven-day period describes our getting-started assistance offer. It is not a deadline for reporting a defect, obtaining a statutory remedy, requesting legally required support or exercising any other mandatory right. You can also contact us later about a download or file problem.

9. Returns, refunds and putting things right

9.1 Choosing a digital purchase

Once a purchased file download has begun, Lutnoir does not normally offer an additional voluntary refund simply because you prefer a different look, change your mind, decide not to use the files or later find a different product. A digital file cannot be physically returned. This store policy applies only to the extent permitted by law, does not override the transaction arrangements in Section 5 or the consumer rights in Section 10. See Section 9.4 and our Refund Policy.

Before a download begins, contact us if you need to cancel. We will check whether supply has started and whether a statutory cancellation right applies; where it does, we will honor it. Other requests, including mistaken or duplicate Orders, will be considered individually. Purchasing a pack that you already own is not an excuse for retaining a mistaken duplicate payment without reviewing it.

9.2 Access and file problems

If a file is missing, corrupted, unreadable or does not match its description, email us with your purchase email, order reference and a brief account of the problem. We may offer a fresh download, corrected file, replacement or reasonable troubleshooting at no additional cost.

If assistance does not resolve an unreadable or damaged file that we supplied, we will provide an appropriate replacement or refund for the affected Product. If correction is impossible, not provided within a reasonable time, or would cause significant inconvenience, we will provide the price reduction, refund, termination or other remedy required by applicable law. If a serious defect gives you an immediate choice of remedy, you do not have to complete troubleshooting first.

A mismatch with a promised capability, a failure to supply or another legally recognized defect can qualify even if the file is technically readable. We will not limit defect claims to corrupted files or require you to prove a software problem is your fault before considering your rights. A taste preference alone differs from a misleading description or a faulty Product.

9.3 Goodwill and refund processing

We may also choose to offer a goodwill refund outside the normal change-of-mind policy. We assess the circumstances fairly; a discretionary gesture does not promise the same outcome for every future request. Refunds legally due are rights, not goodwill.

Refunds follow the transaction arrangements in Section 5, normally in the original transaction currency to the original payment method. We do not deduct a handling fee from a statutory refund or require store credit instead. Applicable legal deadlines remain protected; bank posting can take additional time. A request awaiting approval is not a completed refund, and a failed refund requires follow-up.

Following a full refund or lawful cancellation of a Product, its license ends: stop using and sharing its LUT files and delete working and backup copies to the extent legally required and reasonably possible. A partial price reduction does not by itself terminate the license. Unless law or the agreed resolution requires otherwise, already delivered finished client work need not be recalled; no further use of refunded LUTs in new work is permitted. Your statutory remedy is not conditional on giving up unrelated claims, removing a review or accepting confidentiality.

9.4 The rules for your particular purchase

Section 5.1 explains the transaction arrangements in one place, including who handles a refund or withdrawal request and which terms govern it. Read that section with the remedies here and the consumer rights in Section 10. Our additional 7 days of installation help applies to either payment arrangement and is never a shorter refund deadline. Missing, faulty or misdescribed Products remain eligible for applicable remedies independently of a change-of-mind rule. The Refund Policy brings these points together for quick reference.

10. Consumer rights that remain yours

Nothing in these Terms limits mandatory consumer rights in any applicable jurisdiction. They apply in addition to our commercial policy and cannot be removed by labeling a purchase “digital,” “licensed” or “commercial.” The following summaries explain principal protections; they are not exhaustive. Read them with Section 5.1 for the terms governing your particular transaction. They do not replace more favorable transaction rights.

10.1 European Union / European Economic Area

Where the applicable distance-selling rules give you a right to withdraw, you normally have 14 days from conclusion of the digital-content contract to cancel without giving a reason. The period may be extended if required information is missing.

For paid digital content supplied without a physical medium, the exception to withdrawal depends on all required conditions being met: your prior express consent to performance beginning during the withdrawal period, your acknowledgment that beginning performance ends your withdrawal right, and the required contract confirmation, including that consent and acknowledgment, on a durable medium such as an email you can save. The exception requires an explicit choice before early supply and the legally required confirmation; a preselected box or a statement buried only in Terms is insufficient.

The separate early-delivery choice reads: “I expressly consent to immediate delivery of my digital files during any applicable 14-day withdrawal period. I acknowledge that, once downloading begins, my EU/UK withdrawal (cancellation) right for that content ends where the legal conditions are met. My other consumer rights and any greater protection under the terms governing my transaction remain protected.”

The exception applies only when supply actually begins after valid consent and acknowledgment and the legally required confirmation has been provided. Payment alone does not end the right under our policy. If a required condition is absent, we will not rely on the exception; applicable withdrawal rights and rules concerning payment for content supplied without valid consent remain in place.

Withdrawal and faulty-content remedies are different. Content must satisfy applicable contractual and statutory conformity standards. Necessary corrective or other legally required updates and remedies remain available; a separate future creative pack is not such an update. Applicable remedies may include bringing content into conformity, a price reduction or termination and reimbursement. Downloading with consent does not remove these remedies.

10.2 United Kingdom

Under the Consumer Contracts Regulations 2013, the normal cancellation period for a digital-content contract ends 14 days after the day the contract is entered into, subject to any statutory extension. Early supply requires your express consent and acknowledgment of the loss of the cancellation right. The same explicit statement above and the required confirmation on a durable medium are necessary to rely on that exception. Once downloading begins after these requirements are met, the cancellation right for that digital content ends. If the requirements are not met, we will not treat downloading as automatically removing your cancellation rights or charge you contrary to the Regulations.

Separately, the Consumer Rights Act 2015 requires paid digital content to meet applicable standards of quality, description and fitness for an agreed purpose. Available remedies include repair or replacement and, where the statutory conditions are met, an appropriate price reduction up to the full price. If we lack the right to supply the content, refund rights may apply. Statutory remedies for qualifying damage to your device or other digital content also remain. The short-term rejection rules for physical goods are not substituted for these digital-content rules.

10.3 How to exercise an available withdrawal or cancellation right

Tell the transaction seller clearly before the applicable period expires, using the contact route in Section 5.1. You may also email [email protected] for help; we will promptly forward a request where appropriate. You need not give a reason for an unconditional withdrawal or use the notice format below. Provide enough information to identify the Order. We recognize a clear notice to us without insisting on a particular form. Reimbursement must occur without undue delay and within the statutory deadline, normally no later than 14 days after notice of a valid EU/UK withdrawal. No refund fee applies to an applicable statutory withdrawal.

You may send a cancellation notice addressed to Lutnoir at [email protected], stating that you wish to cancel the digital-content contract and giving the Product, order reference, order date, customer name, address and date of the notice. A signature is needed only if you choose to send a paper notice. This information is used to handle cancellation. A clear statement by email is sufficient where the law permits it.

Where an online withdrawal function is legally required, it is an additional route, not a requirement to email first. Use any eligible transaction option described in Section 5.1 or the contact route above. A missing online option does not remove a right you otherwise have.

10.4 Japan

Mandatory Japanese consumer rights are unaffected. Ordinary mail-order sales do not carry the same statutory cooling-off regime as door-to-door sales. Applicable return conditions must be clearly disclosed in the advertisement and final order confirmation screen; the download policy does not remove remedies for non-conforming content, misleading conduct or other rights that cannot be excluded. The legal classification of the particular digital transaction determines which statutory return rules apply.

10.5 United States

Mandatory US federal and state consumer rights are unaffected. An entirely online purchase does not generally carry the FTC's three-day Cooling-Off Rule right, but applicable state protections, required refund disclosures, enforceable promises, remedies for deceptive practices or defective supply, and payment dispute rights remain. No single nationwide rule makes every digital purchase non-refundable.

10.6 Canada

Mandatory Canadian federal, provincial and territorial consumer rights are unaffected. These may include required distance-contract information and copies, cancellation or refund rights for missing disclosures or non-delivery, legal quality protections and applicable language rights. Rules differ by province, including Quebec; these Terms do not impose a universal Canadian exclusion of refunds or local consumer procedures.

10.7 Australia

Mandatory Australian Consumer Law rights are unaffected. Where applicable, our Products come with consumer guarantees that cannot be excluded. A major failure can entitle you to choose a refund or replacement and seek compensation for reasonably foreseeable loss; for a lesser remediable failure, we must provide the applicable remedy within a reasonable time. The digital nature of a Product, our location in Japan and the seven-day installation offer do not remove these protections. Change of mind alone is distinct from failure of a consumer guarantee.

10.8 Other locations

Mandatory consumer rights in any other applicable country or region are unaffected. We will apply any legally required protection that is more favorable than the commercial policy in these Terms.

11. Intellectual property

We or our licensors retain intellectual property rights in the LUT assets, website, product descriptions and other materials we supply. Your purchase grants only the use rights set out above. You retain your rights in your own footage, images and finished work; applying a LUT does not transfer those rights to us or allow us to publish your work without permission.

You must have the rights and permissions needed for the source material and projects you create. Website imagery and written guides may be used to understand and use your purchase; their inclusion does not license them as stock assets or authorize copying our website or branding.

12. Responsible use and proportionate enforcement

Provide an accurate purchase email, use an authorized payment method, protect private order links and keep suitable backups of your own projects. Do not interfere with the store, submit malicious material, impersonate another purchaser, obtain another person's downloads or evade a justified security restriction. These obligations do not prevent lawful criticism, complaints, security reports or exercising consumer rights.

For a material license breach, we may request that you stop the prohibited use and, where appropriate, give you a reasonable opportunity to correct it before ending the affected license. We may immediately restrict affected access where reasonably necessary to address credible fraud, active redistribution, a security threat or legal requirements. Measures will be proportionate to the issue and will not cancel unrelated paid rights unnecessarily. Where lawful and practicable, we will explain the reason and provide a contact route for review.

We do not treat a good-faith refund request, payment dispute or privacy request as a license violation. Ending a license does not remove a refund or other remedy legally due.

13. Product commitments and reasonable limitations

We undertake to supply the Products described in your accepted Order and remain responsible for applicable statutory standards. We do not promise that a creative treatment will suit every scene or personal taste, correct defective source footage, generate income, or work with every present or future software environment. These specific qualifications do not remove express product promises or mandatory quality, title, fitness or conformity obligations.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, deliberate misconduct or gross negligence; death or personal injury caused by negligence where protected by law; or any consumer guarantee, refund, damage to devices or digital content, statutory compensation or other liability that cannot lawfully be excluded or limited.

For a consumer, we remain responsible for losses that applicable law requires us to cover, including reasonably foreseeable loss resulting from our breach or lack of required care. We do not impose a general purchase-price cap on consumer claims. You should take reasonable steps to avoid avoidable loss, but failing to keep a backup does not automatically extinguish a valid claim or reduce recovery where the law does not permit it.

Only for a purchaser acting wholly for business purposes, and only where lawful and fair: for liability caused by ordinary negligence, our total liability arising from the affected Order is limited to the price paid for that Order, and does not include indirect business losses or lost profits. This limitation does not apply to the liabilities expressly preserved above, does not eliminate an agreed refund, and does not apply where a mandatory protection covers a business purchaser as well as a consumer. We do not ask you to indemnify us for all possible claims or waive legal remedies.

14. Accounts, order access and privacy

You can purchase without creating a Lutnoir account. Access is provided through the private order link. This does not require a separate account with us; any optional account you hold with a payment provider is governed separately by that provider.

Our Privacy Policy describes the order email, transaction information, hosting and delivery services, and your privacy rights. Agreeing to these Terms is not consent to marketing or optional analytics. We do not send marketing email because you placed an Order. Contact us if a private order link has been exposed so we can review access.

15. Payment concerns, fraud and chargebacks

If a charge looks wrong or a download fails, please contact [email protected] first when practicable so we can investigate and resolve it. This is a request, not a condition on your bank, card-network, statutory complaint or payment dispute rights. It does not stop any filing deadline. Contact your bank promptly for suspected unauthorized card use.

We may provide accurate order, delivery and consent evidence to the relevant Payment Partner or competent authorities to investigate a genuine dispute, consistent with our Privacy Policy. The transaction arrangements and direct billing contact are in Section 5.1. We may restrict affected access in response to substantiated fraud or unauthorized distribution and review suspected abuse fairly. We do not impose an automatic chargeback penalty, presume every dispute is dishonest or demand withdrawal of a legitimate dispute before providing a remedy. We coordinate any refund with an open dispute to avoid duplicate payment without delaying a refund legally due.

16. Governing law and courts

The agreement between you and Lutnoir under these Terms is governed by Japanese law. Subject to mandatory consumer jurisdiction and choice-of-law rules, the Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes under that agreement. The separate transaction agreement described in Section 5.1 retains its own governing-law and dispute provisions.

If you are a consumer, this choice does not deprive you of mandatory protections of the law of your habitual residence or of the right to bring or defend proceedings in your home courts where applicable law provides those rights. Where mandatory rules require us to sue you locally, they control. Lutnoir imposes no mandatory arbitration or class-action waiver of its own in these Terms; any separate transaction provisions are addressed in Section 5.1.

17. Changes to these Terms

We may revise these Terms for future purchases by publishing a new version and effective date. The version agreed when an Order was accepted continues to govern that Order and its license unless you expressly agree to a change or a mandatory legal change applies. A later website update does not retroactively remove your existing rights, narrow your purchased license or require you to accept less favorable terms to recover an already purchased file.

18. Severability and the agreement

If a provision cannot be enforced, it will not be applied to the extent prohibited; the remaining provisions continue so far as legally and practically possible. This does not authorize us to rewrite an unfair term against a consumer or decide conclusively whether a claim is valid.

A delay in exercising a right does not by itself abandon it. These Terms and the agreed Order information record the sale, without excluding legally binding pre-contract statements, express written commitments, fraud claims or mandatory rights. Any separate written permission for a particular license use applies only to that permission's stated scope.

19. Contact and version record

For Product orders, installation, download access, consumer requests and Lutnoir operator-information requests: [email protected]. For transaction billing and refunds, follow Section 5.1. Include your order reference where relevant. Lutnoir operates from Japan; operator information is available as described in Section 1, subject to applicable disclosure requirements.

Version 1.2. Last updated: 27 October 2026. Keep the version supplied with your order confirmation for your records.
